The services of Studio Amjé aim to facilitate business meetings, brainstorm sessions, workshops, presentations, (photo) shoots and private or PR events (the services) as completely as possible. As every other service provider, we would like you to familiarize with our short list of terms and conditions.
THE SERVICES CONSIST OF THE FOLLOWING PRODUCT GROUPS:
- Facilitating accommodation for business meetings, (photo) shoot and (private/PR/Pop-up) events.
- Organizational services: Providing, among others, catering, and technical support and/or the use of (contracted) specialists.
Substantial services: The use of specialists for presentation, guidance, inspiration and/or training at the meeting on behalf of the client.
1.1 Studio Amjé, Amjé, based in Amsterdam, KVK 8117825
1.2 Client: The person or company that awards the contract or a third party that awards the contract to Studio Amjé.
1.3 Assignment: The written agreement to provide the services as described in the product groups mentioned above.
1.4 Accommodation: Space made available by Studio Amjé, or space provided by Studio Amjé.
1.5 Reservation value: The value of the assignment between the Client and the lessor, which is equal to the lessor's total turnover expectation excluding VAT. Also taking into account other costs such as personnel and subsequent calculations.
2.1 These general conditions apply to any offer, tender, assignment, or agreement concerning Studio Amjé services or the rental of locations and materials.
2.2 The conditions also apply to acts of third parties engaged by Studio Amjé in the context of the assignment.
2.3 The most recently sent version of these general terms and conditions is always applicable.
2.4 The applicability of the general terms and conditions of the client is expressly rejected.
2.5 If one or more provisions in these general terms and conditions are at any time wholly or partially invalid or should be annulled, the other provisions of these general terms and conditions will remain fully applicable.
2.6 By accepting these terms and conditions, also the third-party terms and conditions of Meetables are accepted. The terms and conditions of Amjé always prevail in case of contradictions. Terms and conditions of Meetables can be found here (https://meetables.nl)
3. Offer validity and interim changes
3.1 Offers are valid for 5 days. Studio Amjé always has the ability to amend or repeal offers and/or amend or repeal the offered meeting space(s). This can only be communicated in writing.
3.2 The prices or rates stated in the quotation and on the website are exclusive of VAT and any other costs and subsequent calculations.
3.3 If, during the execution of a contract, the facts or the actual needs of the client are very different from the original assumptions and/or wishes, both parties can change the agreement in mutual consultation on relevant matters.
3.4 Studio Amjé cannot be held to its offer if the client could reasonably understand that the offer, or a part thereof, contains an obvious mistake or error.
4. Third Parties
4.1 Studio Amjé will only involve or enable third parties such as facilitators, specialists, technical staff and others if ordered and approved by the client.
5. Liability General
5.1 Studio Amjé is not liable for theft, accidents or damages, in and around the property. The client is responsible for all damages to property and/or equipment and hardware present at the location caused by participants.
5.2 Although Studio Amjé will execute the assignment to its best effort and ability, Studio Amjé is in no way responsible for the results, advices or opinions by third parties and Studio Amjé does not guarantee the results of brainstorming sessions, coaching sessions, creative sessions like photo shoots and advices and/or insights will be satisfactory. Studio Amjé is not responsible for the substantive progress of the shoots, meeting and/or presentations.
5.3 If Studio Amjé were to be responsible for any damage whatsoever against the client, it then is limited to the invoice value of the agreed services. Should the invoice value be higher than the liability, which is limited to the amount under the statutory liability insurance of Studio Amjé, the covered insurance costs will be paid.
5.4 The client shall indemnify Studio Amjé for all third-party claims concerning damage in which the client is responsible for.
5.5 If Studio Amjé only acts as a mediator, it cannot be held responsible for damage by third parties. Studio Amjé will mediate if necessary.
5.6 Any changes made will be returned to its original state.
6. Intellectual property
6.1 Models, music, audiovisual works, tools and techniques including software used for the execution of the assignment shall remain the property of Studio Amjé or its licensors unless otherwise agreed between the parties.
7.1 Studio Amjé is, both during and after termination of her services, bound to secrecy to everyone with respect to any information or particulars, which have come to Studio Amjé through the brainstorming session, creative session, the product or about the business of the client. In no case shall Studio Amjé disclose documents, reports or presentations of the client to third parties. From the nature of its business Studio Amjé is convinced of the importance of the above confidential conduct.
7.2 Studio Amjé is entitled to mention the client and use the logo and company name of the client as a reference on the Studio Amjé website and/or in other promotional materials developed by Studio Amjé, unless the client objects in writing.
8. Applicable law and jurisdiction
8.1 Dutch law will be applied to all agreements with Studio Amjé. All disputes related to this agreement or any further agreements resulting from the initial agreement, will be addressed solely by the competent court in Amsterdam, before any other court.
SPECIFIC PROVISIONS RELATED TO BOOKINGS
Without prejudice to the applicability of the foregoing provisions, the following specific provisions apply to bookings for the services of Studio Amjé. These conditions also apply to internal clients and suppliers of Studio Amjé, which substantially use the accommodation.
1. Placing an option
1.1 Clients can place an option on the use of accommodations and services of Studio Amjé. The option remains valid up to 5 days after the date of the quotation. After 5 days the option will automatically expire. If the client wishes to keep the option longer, this must be indicated by e-mail.
1.2 Studio Amjé can be booked per daypart, a daypart consists of 3.5 hours and is divided as follows: Morning part from 9.00 am to 12.30 pm, afternoon part from 1.30 pm to 5 pm, evening part from 6.30 pm to 10 pm.
When reserving half-days, the client must take into account the necessary preparation time for and possible extension of his/her activities in the room. The costs of extra hours, including personnel costs if applicable, are passed on to the user.
2. Confirming a booking / reservation
2.1 Studio Amjé has the right to refuse a booking.
2.2 An option is converted into a reservation if the quotation, which is provided by the location or on behalf of partner Meetables, has been digitally approved by the client via the online booking system or, if not possible, by e-mail or signed and returned quotation. Client will receive a final confirmation by e-mail. Possibly after receipt of deposit.
3. Final number of guests
3.1 For the final number of guests, the following conditions apply.
a. The number of people can be adjusted downwards free of charge up to a maximum of 5 days prior to the reservation up to a maximum of 50% of the original number for groups of up to 12 people.
b. The number of persons can be adjusted downwards free of charge up to a maximum of 5 days prior to the reservation up to a maximum of 25% of the original number for groups of 13 to 25 people.
c. The number of people can be adjusted down to a maximum of 20% of the original number up to a maximum of 5 days prior to the reservation, free of charge for groups of 25 people or more.
d. The final number of persons will be adjusted in the agreement. Based on the settlement, the number of persons will be charged on the invoice.
e. A change in the number of persons, more or less, can only be communicated in writing.
4.1 For cancelling of a one- day reservation, the following conditions apply.
a. In case the client cancels a reservation up to 46 days before the booked date, this is free of charge. Any deposit amount will be refunded.
b. In case of cancellation from 45 to 31 days before the booked date, Studio Amjé will charge 25% of the reservation value.
c. In case of cancellation from 30 days to 15 days before the booked date, Studio Amjé will charge 50% of the reservation value.
d. In case of cancellation from 14 days to 8 days before the booked date, Studio Amjé will charge 75% of the reservation value.
e. In case of cancellation from 7 days up to the booked date, Studio Amjé will charge 100% of the reservation value. Considering the planned personnel costs.
f. If applicable, the costs for cancellation will be deducted from any deposit costs of 50%.
g. Cancellation of the assignment must be done in writing.
h. In case part of the program is canceled (e.g. expired lunch or dinner) or if a meeting has to be rescheduled, the same cancellation conditions apply.
i. If the client arrives late or departs early there will be no refund.
4.2 For cancelling of a multi- day reservation, the following conditions apply.
a. In case the client cancels a reservation up to 46 days before the booked date, this is free of charge.
b. In case of cancellation from 45 days to 31 days before the booked date, Studio Amjé will charge 25% of the reservation value.
c. In case of cancellation from 30 days to 15 days before the booked date, Studio Amjé will charge 50% of the reservation value.
d. In case of cancellation from 14 days up to the booked date, Studio Amjé will charge 100% of the reservation value. Considering into account planned personnel costs.
e. The costs for cancellation will, if applicable, be settled with any deposit costs of 50%.
f. Cancellation of the assignment must be done in writing.
g. In case part of the program is canceled (e.g. expired lunch or dinner) or if a meeting has to be rescheduled, the same cancellation conditions apply.
h. If the client arrives late or departs early there will be no refund.
4.3 In the event of force majeure, Studio Amjé is entitled to interrupt, move or cancel the agreement. Force majeure applies, among other things, if the execution of the agreement, temporarily or otherwise, is prevented by circumstances over which the lessor cannot reasonably exert any influence, such as accidents or fire.
4.4 In case of force majeure, the parties can interrupt or move the agreement. This may include illness, accidents, fire, a pandemic, or government measures.
4.5 If the client wishes to move the agreement due to a pandemic, but the government measures do not make it impossible to continue the agreement, whether or not in an adapted form, Studio Amjé is entitled to charge the costs associated with the relocation.
5.1 Bringing and / or consuming own food or drinks is not allowed, unless otherwise is agreed.
5.2 Doors must be locked at all times by the client when the accommodation is left. Keys for access to the accommodation will only be provided to the client. The client is prohibited from providing these keys to third parties. Keys must be returned immediately after the rented period in the agreed manner.
5.3 It is prohibited to use fire-hazardous items or articles that can lead to damage or pollution of the accommodation. Smoking is also not allowed in and around the accommodation.
5.4 The client is not allowed to use the accommodation for pornographic expressions.
5.5 Pets are not allowed, unless otherwise is agreed.
6.1 Payment of invoices should be completed in euro’s within 30 days after the invoice date without deduction of rebates or settlement. Exceeding this period Studio Amjé is entitled to charge interest.
6.2 Comments or complaints about invoices and expense claims must be made within 7 days in writing and will not suspend the payment obligation.
6.3 If Studio Amjé is forced to turn to debt collection, the collection costs will be charged to the client.
6.4 For meetings with a cost of more than € 3,000, Studio Amjé or our partner Meetables can send a down payment invoice based of 50% of the reservation value excluding VAT. A down payment invoice must be paid within 30 days of the invoice date. In case a meeting is booked less than 30 days in advance, the deposit invoice must be paid within 10 days in advance of the reservation, without deduction of discounts or settlements. In case of a last minute booking (less than 10 days) no deposit invoice will be sent.
6.5 Clients information with regard to purchasing procedures that are necessary for a correct invoicing must be communicated in writing to Lessor or Meetables prior to the meeting.
6.6 Invoices are sent in the name of Studio Amjé or Meetables and must be paid directly to Studio Amjé’s bank account number as stated on the invoice.
7. The location & liability
7.1 Studio Amjé is only accessible to the Client and the business relations supervised by him/her. The Client is fully responsible and liable for the business relations supervised by him/her during the stay at Studio Amjé and must ensure that they strictly comply with these general terms and conditions and house rules of Studio Amjé.
7.2 Access to and use of Studio Amjé takes place at the Client’s own risk and with observance of the applicable house rules. The lessor is not liable for loss, theft or damage to articles/goods brought along.
7.3 Smoking is prohibited in Studio Amjé and no incendiary items (such as open flames, fireworks, smoke machines) or other items that could lead to damage or contamination of the area will be used. Studio Amjé is not liable for theft, accidents or damage on, around and in the location. The client is liable for damage to the accommodation and/or the equipment and materials present there, caused by himself and/or his group members.
7.4 Studio Amjé values a good relationship with local residents and/or respects nature in the immediate vicinity concerned. When using the Studio Amjé, the client may not cause any nuisance or nuisance to local residents and immediate surroundings. The client will ensure that third parties present on account of him/her do not do this either.
7.5 User will leave the reserved Studio Amjé as it is accepted at the start. The client is expected to use Studio Amjé, equipment, furniture and other furnishings in the intended manner. All costs of repair, cleaning or restoration of Studio Amjé, furniture, equipment and other furnishings are at the expense of the user in so far as additional costs than may be considered reasonable have been incurred to restore the space to its original state.
7.6 The lessor will make every effort to ensure that the user can use the space undisturbed and properly during the reserved parts of the day and that it meets the reasonable requirements to be set for this. Apart from this responsibility, Studio Amjé does not accept any liability.
7.7 Studio Amjé is dependent on a (telephony) provider for internet accessibility. The lessor will make every effort to prevent any disruptions in access to the network, but cannot reasonably guarantee uninterrupted availability of the network. Studio Amjé is not liable for damage that the user suffers or will suffer in connection with the non-availability of these services.
7.8 Studio Amjé is only liable for direct damage. Any liability of Studio Amjé for consequential damage, such as trading loss, loss of profit and/or loss suffered, delay damage and/or personal or personal injury is excluded.
7.9 Although Studio Amjé will commit itself to the correct execution of dietary requirements, Studio Amjé is not liable for any health damage in the event of an allergy.
7.10 While using the space, the user is responsible for the safe storage and adequate protection of own (confidential and/or company) information or that of his/her business relations/clients/guests.
7.11 Entering the location is entirely at the Client’s own risk. The lessor is not liable for physical damage to participants.
7.12 If Studio Amjé should be liable towards the client for any reason whatsoever for damage suffered by the client, this is limited to the invoice value of the agreed services.
8.1 The Client is obliged to check the space immediately after use and to report any visible imperfections, damage and/or deviations to the space. Complaints during the use of the space or facilities must also be reported immediately.
8.2 Studio Amjé will make every effort to resolve these complaints as soon as possible, so that the Client can take the space and facilities into use or continue to use them. Complaints about the condition or defects or other imperfections will be dealt with immediately by Studio Amjé.
8.3 Other complaints regarding Studio Amjé’s facilities or services must be reported in writing to Studio Amjé or Meetables immediately after discovery - but no later than 7 days - after use of the space.
8.4 In the event of a justified complaint, Studio Amjé will offer the client the opportunity to use the reserved parts of the day at a different time.
8.5 If a complaint has not been reported to Studio Amjé within the before mentioned period, the space will be deemed to have been put into use in good condition and to comply with the agreement and the facilities and/or services of Studio Amjé will be deemed to have been delivered in accordance with the agreement. or performed.
9.1 When a booking is made, the email address with which the booking is confirmed will be added to our mailing list. The newsletters sent will only contain (information on) products and/or services by Studio Amjé, or in collaboration with Studio Amjé. The newsletter is sent no more than six times per annum.
